Terms of Service

1. Eligibility and Accounts

You must have a valid Slack® workspace and the authority to install third-party apps in that workspace. You also need an Agency360 account in good standing to use the Slack App. You are responsible for the credentials of both your Slack® and Agency360 accounts and for all activity that occurs under them in connection with the Slack App.

2. License to Use the Slack App

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the Slack App in your authorized Slack® workspace solely for your internal business use. All rights not expressly granted are reserved by us.

3. Acceptable Use

You agree not to:

• Reverse engineer, decompile, or attempt to extract source code from the Slack App, except to the extent permitted by applicable law.
• Use the Slack App to violate any applicable law, regulation, or third-party right, including the Slack Technologies, LLC API Terms of Service or Slack® App Directory policies.
• Use the Slack App to send spam, deceptive content, or content that infringes the rights of others.
• Attempt to disrupt, overload, or gain unauthorized access to the Slack App, our infrastructure, your workspace, or other users' data.
• Resell, sublicense, or redistribute the Slack App or access to it.

4. Your Data

You retain all rights, title, and interest in your Slack® workspace data and the Agency360 data you authorize the Slack App to access. You grant us a limited license to access and process that data solely to operate the Slack App and provide the features you request, in accordance with our Slack App Privacy Policy.

5. Fees and Pricing

The Slack App itself is included with every Agency360 subscription. Agency360 is a paid service: a fixed monthly rate is charged for the platform and the Fully Managed Dashboard Service, which includes monthly optimisation. Fees, billing terms, and refund policy applicable to your plan are disclosed during sign-up and in your service agreement. Taxes are your responsibility unless stated otherwise.

6. Service Availability and Changes

We strive to keep the Slack App available, but we do not guarantee uninterrupted operation. We may modify, suspend, or discontinue any part of the Slack App at any time. Where reasonably possible, we will give advance notice of material changes.

7. Third-Party Services

The Slack App operates inside Slack® and depends on the Slack® API and the Slack® App Directory, which are services of Slack Technologies, LLC governed by Slack's own terms. We are not responsible for the availability, behavior, or policies of those Slack® services.

8. Disclaimer of Warranties

The Slack App is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Slack App will be error-free or uninterrupted.

9. Limitation of Liability

To the maximum extent permitted by law, DashboardLim will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or goodwill, arising out of or related to your use of the Slack App. Our total aggregate liability for any claim arising out of or related to the Slack App will not exceed the greater of the amounts you paid us for Agency360 in the twelve months preceding the claim, or USD 50.

10. Termination

You may stop using the Slack App at any time and uninstall it from your Slack® workspace settings. We may suspend or terminate your access if you violate these Terms or if continued access would expose us, your workspace, or other users to legal or security risk. On termination, the rights granted under Section 2 cease; sections that by their nature should survive (Sections 4, 8, 9, and 12) will survive.

11. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted on this page with a new effective date. Continued use of the Slack App after an update constitutes acceptance of the revised Terms.

12. Governing Law

These Terms are governed by the laws applicable at our principal place of business, without regard to conflict-of-laws principles. Disputes will be resolved in the courts having jurisdiction at that location, unless mandatory consumer-protection law in your jurisdiction provides otherwise.
